Brainerd has joined the SurModics board, bringing the number of board members to ten. Her appointment will be effective February 2, 2009, the date of the Company's annual meeting of shareholders.

Ms. Brainerd is the president and chief executive officer of HealthPartners, Inc., a family of non-profit Minnesota health care organizations headquartered in Minneapolis, Minnesota. She has been with the organization since 1992. Ms. Brainerd also serves on the boards of Minnesota Life/Securian, The St. Paul Foundation, Capital City Partnership, Minnesota Council of Health Plans, Alliance of Community Health Plans, and the Federal Reserve Bank of Minneapolis.
