EXPLANATORY NOTE
On November 10, 2015, SurModics, Inc. (the Company) filed a Current Report on Form 8-K (the Original 8-K) with the United States Securities and Exchange Commission disclosing the Companys results of operations for the quarter ended September 30, 2015. This Amendment No. 1 on Form 8-K/A is being filed to update the financial statements included with Exhibit 99.1 to Item 2.02 of the Original 8-K. The financial statements have been updated to reflect an other-than-temporary impairment charge of $1.5 million associated with one of the Companys strategic investments, which charge was deemed necessary based on information that was first made available to the Company after the filing of the Original 8-K.
Item 2.02 | Results of Operations And Financial Condition. |
On November 10, 2015, SurModics, Inc. (the Company) issued a press release (the Press Release) announcing the results for the quarter ended September 30, 2015. The Company subsequently updated the financial statements attached to the Press Release to reflect an other-than-temporary impairment charge of $1.5 million associated with one of the Companys strategic investments and the updated financial statements are furnished as Exhibit 99.1 to this report.
The information contained in this Item 2.02, including Exhibit 99.1, shall not be deemed to be filed for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall they be deemed to be incorporated by reference into any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such a filing.
